The agreement between your business and Sir Render when you use CutPrep. Written to be read, by editors.
1. Who we are
CutPrep is made and sold by Sir Render, the trade name of Klaas Kleiterp, sole proprietorship (eenmanszaak), Oosterstraat 13, 2022 CT Haarlem, the Netherlands (Chamber of Commerce 69599394, VAT NL001990485B56). In these terms "we" and "us" means Sir Render, and "you" means the business that holds the CutPrep account.

2. What CutPrep is, and for whom
CutPrep is a macOS app that reads your footage and gives you a structured starting point for the edit: a selection per format and timelines you open in DaVinci Resolve, Premiere Pro or Final Cut Pro. The edit itself stays yours.
CutPrep is sold to businesses only: editors, studios and production companies, including freelancers working under their own business. When you buy, you confirm you buy for your business. If you are a consumer, please do not buy CutPrep.
The selections, descriptions and timelines come partly from an AI model. They can be wrong, incomplete or miss what matters to you. Check what CutPrep gives you before you deliver or publish anything. You decide what goes into the final film.
3. Your account and your Macs
You need an account on cutprep.io to use the app. The app links to your account once, with a code you confirm on the site, and stays signed in until you sign out or unlink that Mac.
Each plan has a number of seats: one on Start and Solo, two on Studio, five on Team. One seat is one linked Mac at a time. When you link a Mac beyond your seats, the Mac that has been idle the longest is signed out.
You are responsible for what happens under your account and for the people you give a seat.
4. Plans, hours and the meter
Every plan comes with hours of footage per month. Hours are hours of footage CutPrep reads: the interviews and B-roll you load in. They are not the time you spend in the app and not the length of what you export.
How the meter counts today:
An hour of interview counts as one hour, and an interview run counts at least half an hour.
An hour of B-roll counts as two hours, because a card is hundreds of separate shots to look at.
Running the same footage again counts again.
A question to the model without new footage (an edit plan, a B-roll preview, a search) counts a fixed part of an hour, shown in the app.
Analysing a reference video counts per shot, and the app shows what it will count before it starts.
Building the cut, previews, timelines, subclips and exports run on your Mac and count nothing.
A run reserves hours before it starts and settles on what it really read. A run that fails costs nothing.
Your plan hours are added every month, counted from the day your subscription started. This is the same whether you pay monthly or yearly.
On Start, hours you do not use lapse at the end of the month. On Solo, Studio and Team, unused hours carry over one month, and your balance never goes above twice your monthly hours.
You can buy extra hours, 3 at a time. Extra hours do not expire and are used after your plan hours. If we stop offering CutPrep, we refund extra hours you have not used.
If the app cannot reach us, it keeps working on your last known balance for up to 14 days and books those runs afterwards.
If you share a run with us (see "Your footage"), part of its hours may come back to your meter during the introduction period stated in the app and the FAQ.
5. Prices and payment
Prices are shown on cutprep.io/checkout and exclude VAT. VAT is added at checkout based on your country and VAT number.
You pay in advance through Stripe, either monthly or yearly (twelve months in one payment). Subscriptions renew automatically at the end of each period until you cancel. Stripe sends your invoices; we never see or store your card details.
If a payment fails, Stripe tries again for a short period. While a payment stays open we may pause new runs until it is settled.
You can switch plan or billing period in your account. An upgrade is invoiced straight away for the rest of the current period; a downgrade becomes a credit on your next invoice.
A code from us gives a discount on one month. On a yearly plan that amount comes off the first year.
6. Price changes and the AI behind CutPrep
The thinking in CutPrep runs on AI models from outside suppliers, at the moment Claude by Anthropic. What we pay them for every hour of footage is a large part of what CutPrep costs us to run. When those costs go up, or when another cost we depend on rises noticeably, we may change our prices, the hours in a plan, or how the meter counts (for example the B-roll weighting or the minimum per run).
We tell you at least 30 days before such a change takes effect, by email and in your account.
Monthly plans: the change applies from your first renewal after those 30 days. You can cancel before then and you will not pay the new price.
Yearly plans: your price, the hours in your plan and how the meter counts stay as they are until the end of the year you paid for. The change applies from your next renewal, and you can cancel before it.
If costs go down, we may lower prices or add hours. Those changes can take effect straight away.
7. Availability
Large parts of CutPrep run on your own Mac and keep working without internet: indexing, transcription, face detection, subclips and exports from an existing selection. The parts that interpret your footage need a connection to us and to the AI supplier.
We work to keep CutPrep available, and we cannot promise it always will be. An outage at Anthropic, at our hosting or at Stripe can pause runs for a while. If a supplier changes or retires a model, we may move CutPrep to another model that does the same job.
We update the app regularly. Some updates may be needed to keep using the service.
8. Cancelling and ending
You can cancel in your account at any time.
Monthly plans stop at the end of the month you paid for.
Yearly plans stop renewing and run until the end of the year you paid for.
We do not refund the rest of a period you have already paid for. When your plan ends, plan hours lapse. Extra hours you bought stay on your account.
What you exported stays yours. The files are on your own disk and never were anywhere else.
We may end or suspend your account if you seriously or repeatedly break these terms, for example by getting around the meter or the seat limit. Where we can, we warn you first.
9. Your footage and what CutPrep makes from it
Your footage, transcripts, briefs and exports are yours. We claim no rights to them.
You make sure you are allowed to use the footage you load in, including permission from the people in it where that is needed.
To do its work, CutPrep sends a limited amount to the AI supplier: text such as transcripts, your brief and the client name you enter, and stills of shots. Video files, proxies and audio stay on your Mac. The privacy statement lists exactly what goes where.
Sharing a run with us is always your own choice, per run, and the app shows what goes along before you send it. Only share a run when the people in it can expect their words to be used this way. What we do with a shared run, and when we delete it, is in the privacy statement.
10. Processing personal data for you
Footage and transcripts often contain personal data of other people, such as the people you interview. For that data you are the controller and we are your processor. This section is our data processing agreement (article 28 GDPR).
We process that data only to run CutPrep for you, following your instructions as given through the app. That includes sending it to the subprocessors below, also outside the EU.
Everyone at Sir Render who can access it is bound to confidentiality.
We protect it with measures that fit the risk: data stays on your Mac where possible, connections are encrypted, and access on our side is limited to what running CutPrep needs.
Subprocessors: Anthropic (the AI model) and, for account and service data, Base44 and Stripe. We tell you at least 30 days before we add or replace a subprocessor; you can object, and if we cannot resolve it you can cancel.
We help you answer requests from the people in your footage and, where needed, with a data protection impact assessment.
We tell you without undue delay, and within 48 hours where we can, after we learn of a breach that affects that data.
When your account ends we delete the data we hold for you, unless the law requires us to keep it.
We give you the information you need to check that we meet this section, and cooperate with a reasonable audit at your cost.
When you share a run with us, we use that run for our own purpose, improving CutPrep. For that part we are the controller, as described in the privacy statement.
11. Fair use
Please do not:
get around the meter, the seat limit or the account link;
resell access to CutPrep or share one seat between people;
take the app apart to copy it or to reach the AI supplier through it for other purposes;
use CutPrep for footage or work that is against the law.
CutPrep, its software and its look remain ours. Your subscription gives you the right to use the app for your own work for as long as it runs.
12. Liability
CutPrep never overwrites your original files. Keep your own backups all the same: we are not liable for lost footage or projects, unless we caused the loss on purpose or through gross negligence.
We are not liable for indirect damage, such as lost income, missed deadlines or loss caused by relying on a selection without checking it.
Our total liability is limited to what you paid us in the 12 months before the event that caused the damage.
These limits do not apply to damage caused by our intent or gross negligence.
13. Changes to these terms
We may update these terms. For changes that matter to you, we tell you at least 30 days before by email and in your account, and you can cancel before the change applies. For yearly plans, the terms you agreed to keep applying until your next renewal, unless a change is required by law.
14. Law and disputes
Dutch law applies. Disputes go to the court in Haarlem (Rechtbank Noord-Holland).
